Terms of Service

1. The Service

CountedClicks provides multi-user click tracking, redirection, reporting, and related tools designed for advertising and affiliate measurement. Features may include tracking domains, dashboards, exports, Privacy Mode, custom parameters, and optional Bot Detection hooks. We may modify, suspend, or discontinue features with reasonable notice where practicable.

2. Eligibility and accounts

• You must provide accurate business and contact information.
• You must verify your email address.
• Live tracking requires administrator approval. We may approve, reject, suspend, or close accounts at our discretion, including for risk, compliance, or policy reasons.
• You are responsible for safeguarding credentials and all activity under your account.

3. Pricing, trial, and billing

The standard subscription is USD $200 per month. New approved accounts receive a free one-month trial; thereafter the monthly subscription applies unless cancelled or otherwise agreed in writing. Usage-based or premium-feature charges (if any) will be disclosed on the Pricing page or in your invoice. Billing for V1 is administered manually; payment status is recorded by MediaSpades FZ-LLC. Failure to pay may result in suspension.

4. Your responsibilities

You are solely responsible for:

• Destination URLs in your tracking links and any landing pages you send traffic to;
• Complying with advertising-platform and affiliate-network policies that apply to your campaigns;
• Obtaining any consents required for tracking, cookies, or marketing in your jurisdictions;
• Ensuring campaigns and destinations are lawful where you operate and where users are located.

5. Prohibited and illegal use

You may not use the Service for any unlawful purpose or in any way that violates applicable law. Without limiting the foregoing, the following are strictly prohibited:

• Fraud, scams, phishing, social engineering, or identity theft;
• Distribution of malware, ransomware, spyware, or other harmful code;
• Cloaking, destination spoofing, or intentionally hiding prohibited landing pages;
• Circumventing advertising-platform policies or brand-safety rules;
• Child sexual exploitation or abuse material, or any content involving minors in a sexual context;
• Human trafficking, modern slavery, or exploitation;
• Sale or promotion of illegal drugs, controlled substances, or unlicensed pharmaceuticals;
• Illegal weapons, explosives, or instructions for violent crimes;
• Terrorism, violent extremism, or incitement to violence;
• Hate crimes, unlawful discrimination, or harassment that violates law;
• Money laundering, sanctions evasion, or financing of illegal activity;
• Intellectual-property infringement, counterfeiting, or piracy;
• Unauthorized access, hacking, credential stuffing, or attacks on any system;
• Spam, deceptive lead generation, or fake engagement schemes;
• Impersonation of CountedClicks, MediaSpades, platforms, brands, or individuals;
• Any other activity that is illegal under UAE law, applicable local law, or international sanctions.

The Acceptable Use Policy forms part of these Terms. We may investigate suspected violations, preserve evidence, and report illegal activity to competent authorities.

6. Suspension and termination

We may suspend or terminate access immediately if we reasonably believe you violated these Terms, the Acceptable Use Policy, advertising-platform rules, or applicable law, or if your use creates legal, security, or reputational risk. You may stop using the Service at any time; fees already due remain payable.

7. Intellectual property

The Service, software, branding, and documentation are owned by MediaSpades FZ-LLC or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your campaign data and destination URLs, and grant us a license to process them as needed to operate the Service.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted availability or perfect bot classification. Unless we state otherwise in a separate written notice, nothing on the Service constitutes an endorsement or approval by any third-party advertising platform.

9. Limitation of liability

To the maximum extent permitted by law, MediaSpades FZ-LLC and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of the Service is limited to the fees you paid to us for the Service in the three (3) months before the claim.

10. Indemnity

You will indemnify and hold harmless MediaSpades FZ-LLC, MediaSpades, and their officers and agents from claims, damages, fines, and expenses (including reasonable legal fees) arising from your destinations, campaigns, content, unlawful use, or violation of these Terms.

11. Privacy

Our Privacy Policy explains how we process personal data in connection with the Service.

12. Governing law

These Terms are governed by the laws of the United Arab Emirates as applicable in Ras Al Khaimah / RAKEZ free-zone rules for MediaSpades FZ-LLC, without regard to conflict-of-law principles. Courts or competent dispute forums with jurisdiction over MediaSpades FZ-LLC shall hear disputes, unless mandatory consumer protections require otherwise.

13. Changes

We may update these Terms by posting a revised version on this page. Continued use after the effective date constitutes acceptance. Material changes will be highlighted where practicable.
